Welcome to SHAREgo! These Terms of Service ("Terms") govern your use of the SHAREgo mobile application (the "App" or "Services"), provided by SHAREgo ("we," "our," or "us"). By accessing or using the App, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use the App.
By creating an account, accessing, or using SHAREgo, you confirm that you have read, understood, and agree to be bound by these Terms, along with our Privacy Policy. These Terms constitute a legally binding agreement between you and SHAREgo.
You must be at least 13 years old (or the minimum legal age in your jurisdiction to use a mobile application) to use SHAREgo. By using the App, you represent and warrant that you meet this age requirement. If you are under 18, you represent that you have obtained parental or guardian consent to use SHAREgo.
SHAREgo is designed to facilitate sharing content. You agree to use the App solely for its intended purpose and in compliance with all applicable laws and regulations. You agree not to:
You retain all ownership rights to the content you create, upload, or share through SHAREgo. However, by sharing content on the App, you grant SHAREgo a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, distribute, prepare derivative works of, display, and perform that content in connection with the App and SHAREgo's (and its successors' and affiliates') business, including for promoting and redistributing part or all of the App (and derivative works thereof) in any media formats and through any media channels.
You are solely responsible for the content you share and the consequences of sharing it. You represent and warrant that you own or have the necessary licenses, rights, consents, and permissions to publish content you submit and to grant SHAREgo the license rights mentioned above.
All intellectual property rights in the SHAREgo App and its content (excluding user-generated content), including but not limited to copyrights, trademarks, service marks, and logos, are owned by or licensed to SHAREgo. You may not use, copy, reproduce, modify, publish, adapt, transmit, distribute, perform, display, or sell any of SHAREgo's intellectual property without our prior written consent.
The App may contain links to third-party websites or services that are not owned or controlled by SHAREgo. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services. You acknowledge and agree that SHAREgo shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of or reliance on any such content, goods, or services available on or through any such websites or services.
THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. SHAREGO DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE APP OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
IN NO EVENT SHALL SHAREGO, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE APP; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE APP; (III) ANY CONTENT OBTAINED FROM THE APP; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, AND EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE.
You agree to defend, indemnify, and hold harmless SHAREgo and its licensees and licensors, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees), resulting from or arising out of a) your use and access of the App, by you or any person using your account; b) a breach of these Terms; or c) content posted by you on the App.
These Terms shall be governed and construed in accordance with the laws of Singapore, without regard to its conflict of law provisions.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our App after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the App.
We may terminate or suspend your account and bar access to the App immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever and without limitation, including but not limited to a breach of the Terms. If you wish to terminate your account, you may simply discontinue using the App.
